Terms & Conditions

These Terms and Conditions apply to all services provided by Troppo Tech (ABN 27 640 572 446) (“Troppo Tech”, “we”, “us”, “our”) to you, the Client (“you”, “your”). By engaging our services, you agree to these terms.

These terms, combined with a specific Project Proposal or quote (“Proposal”), form the entire agreement between us.

1. Services & proposals

  • Services. Troppo Tech provides full-stack software engineering, IT consultancy, application development, IT infrastructure management, local IT support, and maintenance as described on our website and in any Proposal.
  • Proposal. Troppo Tech will provide you with a Proposal outlining the specific services (“Project Scope”), timelines, and fees. A Proposal is valid for 30 days and is accepted by written confirmation (e.g. email) and payment of any required deposit.
  • Variations. If you request changes to the Project Scope, Troppo Tech will provide a quote for the additional work. All variations must be agreed to in writing before work commences.

2. Payment terms

  • Deposit. A deposit (typically 50%, or as specified in the Proposal) is required before project work begins. This deposit is non-refundable and secures your place in our schedule.
  • Invoices. Troppo Tech will invoice you as specified in the Proposal (e.g. at milestones or monthly).
  • Payment. All invoices are payable within 14 days of receipt.
  • GST. All fees are exclusive of GST unless otherwise stated. GST will be added to invoices where applicable.
  • Late payments. Invoices not paid within 14 days may attract a late fee of 2.5% per month (or part thereof) on the outstanding amount. Troppo Tech reserves the right to suspend services until the account is settled.

3. Client responsibilities

You agree to:

  • Provide all necessary information, content and system access (e.g. logins) required to perform the services.
  • Provide timely feedback and approvals. Delays in feedback may extend the project timeline.
  • Take responsibility for all decisions and approvals made during the project.

4. Third-party services & hosting

  • Troppo Tech does not directly provide web hosting, email hosting or domain registration services.
  • Troppo Tech can set up and manage these services on your behalf using preferred third-party suppliers (e.g. AWS, Google Workspace).
  • All third-party accounts will be established in your name and billed to you. You are solely responsible for all third-party fees.
  • Our no lock-in policy means you retain full ownership of all third-party accounts. Troppo Tech is not liable for failures, outages or issues caused by third-party providers.

5. Retainer & support

  • A monthly retainer secures our availability to manage your systems and provide support. The retainer fee covers availability only.
  • All work performed under a retainer (e.g. updates, support tasks) is billed separately at our standard hourly rate, unless otherwise agreed in writing.

6. Priority service surcharge

For clients on an active retainer, the following surcharges apply to ad-hoc requests:

  • Outside normal business hours: +50% of the net total.
  • Less than 24 hours notice: +50% of the net total.
  • 24 to 48 hours notice: +25% of the net total.
  • Normal business hours: Monday to Friday 10:00 AM - 6:30 PM AEST. Saturday by prior arrangement.

7. Intellectual property

  • Your IP. You retain ownership of all pre-existing content or code you provide for the project.
  • Troppo Tech’s IP. Troppo Tech retains ownership of all code, systems and design elements we create.
  • Licence. Upon full and final payment, Troppo Tech grants you a perpetual, royalty-free, non-exclusive licence to use, modify and operate the source code and other project deliverables for your own business purposes.
  • Restrictions. You may not distribute, re-sell or re-licence the source code without a separate written agreement. Troppo Tech retains the right to reuse code in a non-identifiable way for other projects.

8. No lock-in & project handover

Troppo Tech maintains all project code in a version control repository. Upon project completion and receipt of all final payments, we will provide full source code and access credentials for all associated third-party services and repositories.

9. Confidentiality

Both parties agree to keep all sensitive business information confidential. Troppo Tech will not disclose your confidential information to any third party, and you agree to the same in respect of ours.

10. Limitation of liability

To the fullest extent permitted by the Australian Consumer Law, Troppo Tech’s liability for any claim, loss or damage arising from our services is limited to the total fees paid by you for those services.

Troppo Tech is not liable for any indirect or consequential loss, loss of profit, loss of data or damage to goodwill. While we follow security best practices, we are not liable for security breaches, hacks or data loss. Independent penetration testing is recommended for critical applications.

Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred by the Australian Consumer Law that cannot lawfully be excluded.

11. Termination

  • By you. You may terminate this agreement at any time by providing 14 days written notice. You must pay for all work performed up to the date of termination.
  • By Troppo Tech. Troppo Tech may terminate by providing 14 days written notice, or immediately in the event of a material breach (e.g. non-payment) or insolvency.
  • On termination. All outstanding invoices become immediately payable. Troppo Tech will hand over all work in its current state once the account is settled.

12. General

  • Governing law. This agreement is governed by the laws of Queensland, Australia.
  • Dispute resolution. If a dispute arises, both parties agree to first attempt resolution through good-faith discussion or mediation before commencing legal action.
  • Entire agreement. These terms and the accepted Proposal form the entire agreement between us and supersede all prior representations and agreements.
